What the law actually requires
The publication rule sits in New York Limited Liability Company Law §206. The Department of State administers the Certificate of Publication (form DOS-1708). Read the statute and the DOS pages before you spend money on newspapers.
Two newspapers
One daily and one weekly, designated by the county clerk of the county listed as the office location on the Articles of Organization.
Six consecutive weeks
The notice runs once per week in each paper for six consecutive weeks. Start only after the clerk names the papers.
120 days, start to finish
From the Articles filing date you must both complete publication and file the Certificate of Publication, with the newspapers’ affidavits attached.
$50 to the State
The Certificate of Publication filing fee is $50, paid to the New York Department of State. That is separate from whatever the newspapers charge.
Exact legal name
The name on the notice must match Department of State records exactly — punctuation, “LLC,” and any prior name if it changed.
Missed deadline
Authority to transact business is suspended. It can be cured by completing publication and filing later. There is no extra state penalty beyond the suspension.

Is Pub120 a law firm?
No. Pub120 is a static DIY worksheet and cost calculator. Nothing here is legal advice, and using it does not create an attorney-client relationship. If you need advice about your LLC, hire a New York lawyer.
What happens if I miss the 120-day deadline?
The LLC’s authority to transact business in New York is suspended until you complete publication and file the Certificate of Publication with affidavits. The Department of State does not add an extra penalty on top of that suspension. The requirement can be cured later. Contracts and other consequences of a suspension are a question for your own advisor.
Can I publish in Albany (or another cheap county) instead of the county on my Articles?
No. The newspapers must be designated by the clerk of the county listed as the office location. A fake address or “just file in Albany” is not a trick worth running. If the county on file is actually wrong, you may file a Certificate of Change (DOS-1359-f, $30 state fee) to correct it. That is a real filing, not a loophole.
Who picks the two newspapers?
The county clerk. You ask; they designate one daily and one weekly. Designations vary, and New York City clerks often assign papers per LLC. Any papers named on this site are commonly used examples — verify with your clerk before you pay an advertising invoice.
What is the $50 fee?
The New York Department of State charges $50 to file the Certificate of Publication (DOS-1708). That is in addition to the newspapers’ advertising charges. Pub120’s $47 is a third, separate amount for this kit.
Do theatrical companies have to publish?
Arts and Cultural Affairs Law §23.03 may exempt certain theatrical production companies. The exemption is specific. Do not skip publication because the LLC “does shows.” Confirm with your own advisor.
Does the name have to match exactly?
Yes. The notice must use the name on file with the Department of State. If the LLC changed its name, the packet includes a prior-name line so the notice can say so.
How long does this take if I start now?
Six consecutive weeks of ads, then time to collect affidavits of publication, then the DOS filing. Budget eight weeks if the clerk or the papers are slow, and do not cut it against a 120-day deadline that is already tight.
Will a newspaper accept this generated notice?
The text follows the usual New York legal-notice form (name, Articles date, county, Secretary of State as agent, process mail address, purpose). Individual papers may impose house style. Send their proof back if they edit the legal name.
